Joshua M. Greenberg is a transactional attorney practicing in the areas of business and intellectual property law in the digital media, technology, and entertainment industries. He represents a wide variety of clients, including technology service companies; social media platforms; mobile app developers; media, marketing, and creative agencies; film, podcast, live event, and digital media producers and financiers; and benefit corporations and purpose-driven commercial ventures. Josh is passionate about helping businesses and entrepreneurs navigate tough legal issues in a way that best supports their goals and objectives and forges a successful path forward.
For many clients, Josh serves as outside in-house counsel on legal and business affairs in matters that include drafting and negotiating commercial contracts, such as master services agreements, brand partnership and marketing agreements, technology service and platform licenses, and intellectual property licenses; online user-generated content review and moderation policies and community guidelines, and related legal and regulatory compliance matters, for interactive Internet service providers; running complaint online marketing promotions, contests, and sweepstakes; and trademark portfolio development and brand protection and integrity issues.
In his trademark practice, Josh regularly counsels businesses on identifying strong trademarks and protecting associated intellectual property by performing thorough rights clearances and prosecuting applications with the U.S. Patent and Trademark Office (USPTO) through to registration, and advocating for clients’ trademark rights against infringers throughout the world.
Josh has extensive experience advising company founders through forming and structuring new business entities and growth-oriented businesses through seed-stage and venture capital-backed equity, debt, convertible debt, and crowdfunding financings. He brings his corporate finance background and knowledge to the firm’s Entertainment practice, supporting producers and financiers on both project funding and tax credit lending.
Prior to joining Cowan DeBaets, Josh was an associate at a boutique law firm where he represented start-up and emerging companies in the technology, creative, blockchain and cryptocurrency, and consumer product and service industries. While in law school, he interned with CDAS, Tough Mudder, and the Brooklyn Nets and Barclays Center, and served as a clinician with the Brooklyn Law Incubator and Policy (BLIP) Clinic, which offers pro bono legal services to entrepreneurs and pre-revenue startups, largely in the tech, Internet, communications, and new media spaces.
