CDAS represents companies at all stages of their life cycle: from startup and entity formation to acquisition, merger, exit or sale.

We routinely help our clients handle issues related to choice of entity, partner/shareholder agreements, corporate governance, director and officer liability, financing through the sale of equity or debt in private placement and institutional/venture financing rounds, mergers and acquisitions, joint ventures and other business strategies, executive and employee compensation and equity incentive programs, office real estate and a wide range of commercial transactions.

CDAS often serves as outside general counsel for clients that do not have in-house lawyers, developing form agreements, templates and processes for legal workflow; standardizing confidentiality, invention assignment, non-competition and other intellectual property related agreements and implementing employee policies and policy manuals. We also represent clients in negotiations with banks and financial institutions, equipment lessors and other lenders in transactions involving promissory notes, security agreements, custodial agreements, guarantees, inter-creditor agreements and subordination agreements.
